Welcome to QS Certification (the “Company”, “we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website at certifyqs.com (the “Site”) and any services, training, audits, certificates, or support provided by QS Certification (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts in your jurisdiction to use the Site or subscribe to our Services. By using the Site you represent and warrant that you meet these eligibility requirements.
2. Services
QS Certification provides management system certification, training, audit services, and related consultancy. The precise scope, deliverables, fees and timelines for any particular engagement will be set out in a separate quotation, proposal, contract, or order confirmation (the “Service Agreement”). In case of any conflict between a Service Agreement and these Terms, the Service Agreement will prevail to the extent of the conflict.
3. Orders, Fees & Payment
- All fees for Services are as set out in the applicable Service Agreement or invoice.
- Unless otherwise agreed in writing, invoices are payable within 30 days of receipt. Late payments may attract interest at the lesser of 1.5% per month or the maximum rate permitted by law.
- We reserve the right to suspend Services if payment is not made according to agreed terms.
4. Cancellation & Refunds
Cancellation and refund policies vary by Service and will be set out in your Service Agreement. For training courses, cancellations made less than 7 days before the start date may be non-refundable or incur a charge. Contact us to discuss cancellations and rescheduling.
5. Client Responsibilities
Clients must provide accurate information, cooperate with auditors and trainers, and supply access to personnel, records and sites as required for performance of Services. Failure to cooperate may result in delays, additional charges, or suspension of Services.
6. Intellectual Property
All intellectual property rights in the Site, materials, methodologies, reports, templates and content provided by QS Certification remain the property of QS Certification or its licensors, except for any client-supplied materials. We grant clients a limited, non-exclusive, non-transferable license to use deliverables for internal purposes only, unless otherwise stated in the Service Agreement.
7. Confidentiality
Each party will keep confidential all non-public information disclosed by the other party that is marked confidential or would reasonably be considered confidential. Confidential information does not include information that is public, rightfully received from a third party, independently developed, or required to be disclosed by law.
8. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy. By using our Site and Services you consent to such processing. If you are submitting personal information of third parties, ensure you have obtained the necessary consents and are entitled to share that data with us.
9. Warranty Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QS CERTIFICATION PROVIDES THE SITE AND SERVICES “AS IS” AND DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL QS CERTIFICATION BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING FROM THE SITE OR SERVICES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR ANY SERVICE AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE APPLICABLE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnity
You agree to indemnify, defend and hold QS Certification, its officers, directors and employees harmless from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, misuse of the Site, or misrepresentation to us.
12. Termination
Either party may terminate a Service Agreement in accordance with its termination provisions. QS Certification may suspend or terminate access to the Site or Services for breach of these Terms or non-payment. Termination will not affect accrued rights or liabilities.
13. Governing Law & Dispute Resolution
These Terms and any Service Agreement are governed by the laws of India. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India, unless otherwise agreed in writing.
14. Changes to These Terms
We may modify these Terms from time to time. Material changes will be posted on this page with an updated “Effective date”. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
